Investasi asing di e-commerce dengan modal kurang dari Rp 10 miliar dilarang dimiliki oleh asing, namun untuk modal Rp 10 miliar – Rp 100 miliar boleh dimiliki oleh asing dengan maksimum porsi sebesar 49 persen.

Hukum Indonesia nomor 25 tahun 2007 yang berisikan tentang investasi asing. Kepemilikan asing diperbolehkan jika investasi asing tersebut memiliki PT Pemilik Modal Asing (PT PMA), yang berarti PT tersebut harus berubah menjadi PT PTMA untuk diakui sebagai investasi asing.
Perusahaan asing yang ingin berinvestasi langsung membutuhkan persetujuan dari BKPM (Badan Koordinasi Penanaman Modal), walaupun begitu beberapa industri juga membutuhkan persetujuan dari otoritas lain. Untuk industri seperti e-commerce, investor asing banyak yang membangun perusahaan utamanya di Singapura lalu baru membuka cabangnya di Indonesia. Struktur bisnis seperti ini adalah untuk membuat investor asing tetap bisa menerima bunga dari hutang yang dipinjamkan.

Dengan daftar investasi asing yang baru dan lebih terbukanya Indonesia untuk asing, kami mengharapkan lebih banyaknya investasi asing yang masuk ke Indonesia untuk sektor e-commerce, yang tentu juga membawa dampak investasi ke sektor lainnya seperti logistik, lebih tepatnya jasa pengiriman barang.
